What should a warehouse construction contract specify?

A warehouse construction contract should clearly specify the building scope, drawings and specifications, agreed price, payment stages, programme, responsibilities, design approvals, statutory compliance, variation procedure, insurance, defects obligations and handover requirements. It should also identify the contract documents and define how delays, unforeseen site conditions, disputes and changes to the work will be managed.

A warehouse construction contract should convert the proposed building into a precise, measurable set of obligations. It should make clear what is being supplied, how conformity will be demonstrated, who carries each risk, and what happens if the work does not meet the agreed requirements. The more clearly these points are recorded before work starts, the less reliance is placed on assumptions, informal instructions or conflicting interpretations.

Identify the contracting parties and authority to instruct. Name the client, contractor and any separately appointed consultants, and state each party’s legal status and address. The contract should identify who may issue instructions, approve information, certify payments and accept completed work. This avoids uncertainty where a site manager, architect, project manager or client representative gives an instruction that affects cost or design.

Define the warehouse and its performance requirements. In addition to drawings, the agreement should record the intended use of the building and any performance criteria that affect design or construction. These may include:

  • building dimensions, clear internal height, bay arrangement and loading requirements;
  • floor loading, racking loads, vehicle movements and the position of significant equipment;
  • requirements for doors, access points, insulation, ventilation, lighting or service penetrations;
  • required durability, protective finishes and maintenance expectations; and
  • any limits on tolerances, deflection, movement or water ingress.

Requirements should be expressed in a way that can be checked. A general description such as “suitable for warehouse use” is less useful than a specification linked to the proposed operations, imposed loads and relevant design information.

Set out the document hierarchy. A warehouse project can involve a written specification, architectural drawings, structural calculations, fabrication drawings, schedules, surveys and written clarifications. The contract should state which document takes priority if two items conflict. It should also explain whether later approved information replaces earlier information, and whether a drawing is for construction, coordination, information or approval only. This is particularly important where design information develops between tender and fabrication.

Record design responsibility and review limits. The agreement should distinguish between preparing design, checking design, approving design and constructing in accordance with design. A review or approval by the client or its consultant should not unintentionally transfer the designer’s responsibility for the adequacy of its own work. If the contractor is responsible for elements of the design, the contract should identify those elements and state the required standard of skill, care and compliance.

Make commercial terms unambiguous. State whether the price is fixed, measured, provisional or subject to defined adjustments. List what is included and excluded, including surveys, temporary works, ground preparation, utilities, testing, waste removal, access arrangements and reinstatement. The contract should also deal with VAT, valuation of partially completed work, retention if applicable, payment notices and the information needed to support an application for payment. Any allowance or provisional sum should explain how it will be instructed and valued rather than appearing as an unexplained figure.

Allocate site and ground risks expressly. The contract should identify the surveys and information on which the tender is based, such as levels, ground investigation, drainage records, access constraints and existing services. It should say who bears the risk of inaccurate information, unidentified obstructions, unsuitable material, contamination, groundwater or changes to ground conditions. A process for recording and valuing genuine physical conditions should be included, with evidence requirements agreed in advance.

Describe access, logistics and temporary works. Responsibilities should cover possession of the site, working areas, delivery routes, storage, lifting operations, traffic management, security, welfare, temporary drainage and protection of adjoining property. Where the warehouse is built beside an operating farm, factory or yard, the contract should define interfaces with ongoing activities and establish who controls segregated work areas. It should also identify responsibility for temporary works such as propping, excavation support and temporary stability during erection.

Connect the programme to information and dependencies. A useful programme does more than state a completion date. It should show dependencies such as site possession, receipt of surveys, design approvals, availability of foundations, delivery of steelwork, installation of cladding and connection of services. The parties should agree how progress is measured and how a delay affecting a critical activity is assessed. The contract should distinguish delay caused by the contractor from delay caused by late information, restricted access, other contractors or an identified external event.

Control changes formally. Every proposed change should identify the revised work, its reason, effect on the design, price and programme, and the person authorising it. The contract should state whether work may proceed on an instruction before its value is agreed, and how urgent safety-related work is handled. Written records, marked-up drawings, revised schedules and site records help prevent an altered opening, loading requirement or material specification being treated as part of the original scope.

Include statutory and technical evidence. The contract should allocate responsibility for building control submissions, planning conditions, structural design checks, fire-related information, health and safety duties, environmental controls and required permits. It should specify the records to be provided, such as certificates, inspection reports, material declarations, test results, operation and maintenance information, as-built drawings and warranties where applicable. Compliance should be demonstrated through identified evidence rather than treated as a general statement.

Address health, safety and insurance obligations. The agreement should state who acts in each duty-holder role and how information is exchanged between the client, designers, principal contractor and other parties. It should cover site rules, risk assessments, lifting and erection procedures, reporting of incidents and control of subcontractors. Insurance clauses should identify the types of cover required, policy limits where agreed, responsibility for excesses and the evidence to be supplied. The contract should also clarify responsibility for damage to the works, existing property, materials in storage and third-party property.

Define ownership, care and security of materials. The parties should agree when ownership of supplied materials passes and who carries the risk of loss or damage before incorporation. This matters for steelwork, cladding, doors, specialist equipment and client-supplied items. The contract should also address off-site manufactured components, storage, labelling, inspection and the consequences of defective or damaged deliveries.

Set objective completion and handover criteria. Practical completion should be linked to stated requirements rather than simply to the contractor declaring the work finished. The contract can identify permitted minor defects, outstanding information, testing, cleaning, removal of temporary works, access arrangements and statutory sign-off. Handover should specify the documents and demonstrations required, including maintenance instructions, inspection records, guarantees and confirmation of approved changes.

Deal with defects and unresolved matters. State how defects are notified, the time allowed for correction, access arrangements for remedial work and the process for dealing with disagreement about whether work complies. The contract should explain whether parts of the building can be occupied while defects remain and how concealed defects or failures discovered after handover are treated. A clear record of inspections and agreed snagging items is more effective than relying on informal correspondence.

Include a workable dispute and termination procedure. The agreement should set out the escalation route for disputes, including the relevant senior representatives, adjudication or other agreed method, applicable law and jurisdiction. It should also explain the circumstances in which either party may suspend or terminate, the notice required, payment for completed work, treatment of materials and access to design information after termination. These provisions are particularly important where the project is interrupted before fabrication or erection is complete.

Before signing, the parties should check that the contract, drawings, specifications, surveys, schedules and clarifications describe the same building. Missing exclusions, inconsistent dimensions and undefined approval responsibilities are common sources of disagreement. Independent legal and technical review is appropriate for a significant warehouse project, especially where the contract includes contractor-designed elements, complex ground conditions or interfaces with existing operations.

The contract should specify how the completed warehouse will be tested and accepted. For each test, identify the item being checked, the applicable standard or design requirement, who carries it out, who may witness it and what records must be supplied. Depending on the project, this may include floor level and loading checks, door operation, drainage performance, lighting, ventilation, fire-related systems and service connections.

Acceptance criteria should state what constitutes a pass, how failed tests are repeated and whether outstanding results prevent handover. This avoids disputes where the building appears complete but its operational performance has not been demonstrated.
